Welcome to AInfluence Services, provided by TH Research Labs Limited.
These Terms and Conditions ("Terms") govern your access to and use of our AInfluence Signal, AInfluence Edge, and OV API product-services (collectively, the "Services").
Please read these Terms carefully before using our Services. By accessing, registering for, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
1. Acceptance of Terms
By creating an account, subscribing to a service, or otherwise using the Services, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of Services
TH Research Labs Limited provides data and analytics through its AInfluence Services. These services are intended to provide data points and signals for informational purposes only. The Services include, but are not limited to:
AInfluence Signal: Hourly AI Market Influence Values
AInfluence Edge: 15 Minutes AI Market Influence Values
OV API: An API providing 15 Minutes AI Market Influence Values
We reserve the right to modify, suspend, or discontinue the Services, or any part thereof, with or without notice at any time.
3. Registration and Account Security
To access the Services, you may be required to register for an account. You agree to:
Provide accurate, current, and complete information during the registration process.
Maintain and promptly update your account information.
Maintain the security of your password and accept all risks of unauthorized access to your account.
Notify us immediately if you discover or otherwise suspect any security breaches related to the Services.
4. User Responsibilities and Conduct
You are solely responsible for your use of the Services and for any consequences thereof. You agree that you will not:
Use the Services for any illegal or unauthorized purpose.
Resell, sublicense, or otherwise make the Services available to any third party without our express written consent.
Attempt to reverse engineer, decompile, or otherwise discover the source code of the Services.
Use any automated system, including "robots," "spiders," or "offline readers," to access the Services in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.
5. Fees, Payment, and Subscription
Certain aspects of the Services may be provided for a fee or other charge. By selecting a paid service, you agree to pay TH Research Labs Limited the subscription fees indicated for that service.
Payment: All fees are payable in advance. Payments will be billed on a pre-paid basis (e.g., monthly or annually) and are non-refundable.
Renewal: Unless you notify us before the end of the applicable subscription period that you want to cancel, your subscription will automatically renew, and you authorize us to collect the then-applicable annual or monthly subscription fee using any credit card or other payment mechanism we have on record for you.
Price Changes: We reserve the right to change the payment terms and fees upon thirty (30) days prior written notice to you.
6. Intellectual Property Rights
All rights, title, and interest in and to the Services (excluding content provided by users) are and will remain the exclusive property of TH Research Labs Limited and its licensors. The Services are protected by copyright, trademark, and other laws of both New Zealand and foreign countries. Nothing in these Terms gives you a right to use the TH Research Labs Limited name or any of the company's trademarks, logos, domain names, and other distinctive brand features.
7. Disclaimers and No Warranty

The Services are not, and should not be construed as, investment advice, a recommendation, or a solicitation to buy, sell, or hold any security or financial product.
DATA PROVIDED "AS IS": The Services and all data provided through them are offered on an "AS IS" and "AS AVAILABLE" basis without any warranty of any kind, whether express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the data will be accurate, reliable, complete, or current.
USER'S RISK: You acknowledge and agree that you are using the Services and any data derived from them at your sole risk. Any trading or investment decisions you make are your own and are based on your own research and judgment. TH Research Labs Limited is not responsible for any losses you may incur as a result of using the information provided by the Services.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall TH Research Labs Limited, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, this Service.
Under no circumstances will TH Research Labs Limited be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the Service or your account or the information contained therein.
Our total liability to you for any and all claims arising out of or relating to these Terms or your use of the Services shall not exceed the amount you paid to us, if any, for access to the Services during the twelve (12) months immediately preceding the date of the claim.
9. Indemnification
You agree to defend, indemnify, and hold harmless TH Research Labs Limited and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.
10. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.
You agree to submit to the personal and exclusive jurisdiction of the courts located within New Zealand, Auckland to resolve any dispute or claim arising from these Terms.
11. General Provisions
Entire Agreement: These Terms constitute the entire agreement between you and TH Research Labs Limited concerning the Services and supersede all prior agreements.
Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck, and the remaining provisions will be enforced.
Changes to Terms: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
